These Terms of Service ("Terms") govern your access to and use of NextMove's website, applications, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview

NextMove provides tools and content to help tech professionals discover job opportunities, receive alerts, track applications, and access subscription-based features and content.

These Terms are a legally binding agreement between you and NextMove. You also agree to our Privacy Policy, which is incorporated by reference into these Terms.

2. Eligibility and Accounts

2.1 Eligibility

To use the Services, you must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract. By using the Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

To access certain features (such as the dashboard, alerts, and subscription features), you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Keep your login credentials confidential and secure; and
  • Promptly update your account information as needed.

You are responsible for all activity under your account, whether or not you authorized it. Notify us immediately if you suspect unauthorized access or use of your account.

3. Use of the Services

3.1 Permitted Use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use (or internal business use if you are using the Services on behalf of a company) in accordance with these Terms.

3.2 Prohibited Conduct

You agree that you will not:

  • Use the Services in any unlawful or fraudulent manner, or for any illegal purpose;
  • Attempt to gain unauthorized access to any accounts, systems, or networks;
  • Interfere with or disrupt the operation of the Services (for example, introducing malware, excessive scraping, or automated queries beyond reasonable use);
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except where permitted by law;
  • Circumvent or attempt to circumvent any security or access controls;
  • Use the Services to send unsolicited or unauthorized advertising, spam, or other forms of solicitation;
  • Misrepresent your identity, your affiliation, or your qualifications; or
  • Use the Services to collect or store personal information about others in violation of applicable law.

We reserve the right to monitor use of the Services and to suspend or terminate accounts that violate these Terms.

4. Subscriptions, Billing, and Payments

4.1 Subscription Plans

NextMove offers free and paid subscription plans (for example, "Chill" and "EagleEye") with different features and limits. Features and pricing for each plan are described in the Services (for example, pricing pages and dashboards). We reserve the right to modify subscription plans and pricing, but we will provide notice of material changes where required by law.

4.2 Free Trials and Waitlist / Beta Access

We may offer free trials, promotional offers, or waitlist/private beta access with limited features or time periods. The specific terms of any free trial or beta program will be described at sign-up. We may modify, limit, or terminate free trials or beta access at any time, subject to applicable law.

4.3 Billing and Payment

Paid subscriptions are billed through Stripe or other designated payment processors. By starting a paid subscription, you authorize us and our payment processor to charge your chosen payment method for subscription fees, applicable taxes, and any other charges incurred in connection with your use of the Services.

You must provide a valid payment method and keep your billing information current. If payment is not received or cannot be processed, we may suspend or terminate your access to paid features.

4.4 Auto-Renewal and Cancellation

Unless otherwise stated, paid subscriptions automatically renew at the end of each billing period at the then-current price for your plan. You can cancel your subscription at any time via the dashboard or subscription management tools. If you cancel, your subscription will typically remain active until the end of the current billing period.

Fees already paid are generally non-refundable, except where required by law or expressly stated by us in writing.

4.5 Refunds

Except where required by applicable law or expressly stated by us in writing, all fees are non-refundable and we do not provide partial refunds for unused portions of a subscription period. We may, at our sole discretion, offer a refund or credit in specific cases, but this does not entitle you or others to future refunds or credits.

5. Content and Intellectual Property

5.1 Our Content

The Services, including all software, code, text, graphics, logos, trademarks, and other content ("NextMove Content"), are owned by or licensed to NextMove and are protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, create derivative works based on, distribute, sell, resell, lease, or sublicense the Services or NextMove Content, or use any trademarks, logos, or branding without our prior written consent.

5.2 Your Content

You may provide information, preferences, or other content through the Services (collectively, "User Content"), such as profile and job preference data. You retain ownership of your User Content. By providing User Content, you grant NextMove a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, and display User Content as reasonably necessary to operate, improve, and provide the Services.

You represent and warrant that you have all necessary rights to provide User Content and to grant this license.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you acknowledge that we may use it without restriction or compensation to you.

6. Job Information and External Links

The Services may display job listings, salary ranges, articles, or other third-party content and links. We do not guarantee the accuracy, completeness, or availability of such third-party information, and we do not control third-party websites or their terms, privacy practices, or hiring decisions.

You interact with third-party websites and job listings at your own risk and subject to those third parties' terms.

7. Service Availability and Modifications

We strive to provide reliable Services but do not guarantee that the Services will be uninterrupted, error-free, or secure, or that they will always be available at any particular time or location.

We may modify, update, or discontinue parts of the Services at any time (including features, integrations, or availability of certain plans), subject to applicable law and any contractual commitments. We may provide a system status page or dashboard, but any status information is provided for informational purposes only.

8. Termination and Suspension

We may suspend or terminate your access to all or part of the Services if you violate these Terms or any other applicable policy, if we are required to do so to comply with law or government orders, if your subscription is not paid or has lapsed, or if we reasonably believe your use poses a security, risk, or legal issue.

You may stop using the Services at any time. You may also delete your account subject to any applicable data retention requirements and the process we provide.

Upon termination, your right to access and use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (for example, payment obligations, intellectual property, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

9. Disclaimers

To the fullest extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that the Services will meet your requirements or expectations, that the Services will be uninterrupted, timely, secure, or error-free, or that the results obtained from the Services (including job matches, alerts, or analytics) will be accurate, complete, or reliable. NextMove does not guarantee that you will receive job offers, interviews, or employment as a result of using the Services.

10. Limitation of Liability

To the fullest extent permitted by law, NextMove and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or goodwill) arising out of or in connection with these Terms or your use of the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you have paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (US $100).

The limitations in this section apply to the fullest extent permitted by applicable law but do not limit liability for gross negligence, willful misconduct, or other forms of liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless NextMove and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way related to your use of the Services, your violation of these Terms or any applicable law or regulation, your User Content, or your interactions with any third-party websites or job listings accessed through the Services.

12. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice as required by law (for example, by posting a notice on the website or sending an email). The "Last Updated" date indicates when these Terms were last revised.

By continuing to use the Services after the revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

13.2 Venue

Subject to any arbitration provisions that may apply (if you choose to implement them), you agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

14. Export and Sanctions Compliance

You represent that you are not located in, and are not a resident of, any country or jurisdiction that is subject to US trade sanctions or other significant trade restrictions, and that you are not a prohibited or restricted party under US export and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Services.

15. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any other policies or terms incorporated by reference, constitute the entire agreement between you and NextMove regarding the Services.
  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
  • Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms.
